Advisory Role – Private Equity Firm

The Client: A growth-oriented private equity (PE) firm with extensive experience investing in technology-driven industrial businesses.

Role: HMC served as a strategic advisor to the PE firm, providing pre-acquisition research, industry-specific due diligence, and guidance on both pre-and post-acquisition integration strategies. The PE firm engaged HMC for its deep knowledge of a U.S.-based aerospace & defense, and industrial contractor that had been recently acquired.

Situation: The PE firm had made a major acquisition of a publicly traded U.S.-based global company operating across multiple divisions in the aerospace, defense, and industrial sectors. In order to fast-track its understanding of specific business units within the acquired company, the PE firm contracted HMC to deliver comprehensive insights into the company’s products, technologies, past growth strategies, and market positions. HMC's expertise was critical in guiding the PE firm's strategic decisions around growth, investment, and divestment opportunities.

Approach: HMC was tasked with conducting a thorough analysis and creating a detailed report that covered several key aspects of the acquired company’s business, including:

  • History & Competitors: A timeline of the company’s historical performance, including competitor analysis and reasons for past business success.

  • Product & Technology Overview: In-depth descriptions of the company’s products and technical capabilities, highlighting key technologies and development investments.

  • Pricing & Contracting Dynamics: Insights into historical pricing models and contracting practices.

  • Customer Analysis: Detailed customer profiles and an evaluation of customer alternatives if production were to cease.

  • Market Demand & Forecasting: A review of demand drivers, backlog, pipeline, and future market forecasts.

HMC’s "Deep Dive Report" provided a comprehensive historical perspective on the acquired company’s customers and product offerings. The report laid the groundwork for further strategic decisions concerning organic growth, investments, and potential divestments. 

Results: HMC delivered a final report to the client, accompanied by a debrief presentation summarizing the findings. The report provided the PE firm with invaluable insights into the acquired company's organizational structure, growth strategies, and market positioning. As a result, several of HMC’s recommendations on restructuring and business strategies are being actively considered or implemented by the PE firm.
